1. Agreement to Terms & Scope
This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User," "Client," or "Licensee") and Aria Business Advisors, LLC ("Aria," "we," "us," or "our"), a mergers and acquisitions (M&A) advisory and business brokerage firm, governing your access to and use of Aria's client portals, transaction management tools, APIs, and connected workflow integrations (collectively, the "Software" and "Services").
By accessing, integrating, or utilizing any portion of our software, client portals, or integrations, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Software.
2. License Grant
Subject to the terms and conditions of this Agreement, Aria grants you a limited, non-exclusive, non-transferable, revocable license to access and utilize the Software and associated integrations solely for your internal business operations in connection with Aria mergers and acquisitions (M&A) advisory, business brokerage, valuation, and transaction management services.
3. Third-Party Software and Accounting Integrations
The Software facilitates secure interoperability with designated third-party platforms, including without limitation QuickBooks Online (Intuit Inc.), Monday.com, HubSpot, Zoom, and other authorized financial and operational services. Your access to and utilization of third-party platforms is subject to their respective terms of service and end-user agreements. Aria is not responsible or liable for any acts, omissions, or availability of third-party platform providers.
4. Restrictions on Use
You agree not to, directly or indirectly:
- Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software;
- Modify, adapt, translate, or create derivative works based upon the Software;
- Circumvent, disable, or interfere with security-related features or digital rights management protocols;
- Use the Software in violation of any applicable federal, state, local, or international law, rule, or regulation.
5. Intellectual Property Rights
All intellectual property rights, titles, and interests in and to the Software, including all associated code, client portal architectures, designs, M&A workflows, documentation, trademarks, and service marks, are and remain the exclusive property of Aria Business Advisors, LLC and its licensors. No rights or licenses are granted except as expressly set forth herein.
6. Data Privacy & Confidentiality
Use of our Services and integrations is strictly governed by our Privacy Policy, available at https://www.aria.net/privacy-policy. All financial, transaction, and business brokerage information transmitted through connected integrations is treated as strictly confidential and safeguarded in accordance with industry security standards.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SOFTWARE AND ALL INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. ARIA BUSINESS ADVISORS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARIA BUSINESS ADVISORS, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SOFTWARE.
9. Termination
This Agreement remains effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all access to and use of the Software.
10. Governing Law & Contact Information
This Agreement is governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
